Yochaa - Terms of service
Thank you very much for installing Yochaa. Yochaa is a software platform developed and owned by RME Ideas Limited (“RME-Ideas”, ”us”, or “we”) whose registered office is at 4th floor, No. 2 Tokunbo Alli Street, off Toyin Street, Ikeja, Lagos. RME-Ideas is registered with the Corporate Affairs Commission of Nigeria (RC 1549112). The term “the Client”, “you” or “your” refers to the user of the Platform
By installing Yochaa (“the Platform”) on your device and/or using the services available on the Platform (“Services”), you unconditionally agree to comply with and be bound by the following terms and conditions of use as well as our Privacy Policy which govern our relationship with you in relation to this Platform. If you disagree with any part of these terms and conditions, please do not use the Platform.
We may update the terms from time to time, and will always notify you of such updates. If you do not agree to, or cannot comply with, the terms as amended, you should immediately discontinue the use the Platform. You will be deemed to have accepted these terms as amended if you continue to use the Platform after any amendments are made.

About Yochaa
Yochaa is a mobile app designed to enable investors in the Nigerian equity market buy and sell stocks of their choice, while being guided by the data and tools that are available within the app.
Your Account
In order to access the Services, you will be required to register for a user account. To this end, you agree to provide truthful information when requested, and, if a minimum age is required for eligibility for a user account, you undertake that you are at least the required age. You agree that you are solely responsible for maintaining the confidentiality and security of your username and password, and you are responsible for all acts and/or omissions that occur under the authority of your username. You agree to immediately notify us of any unauthorised use of your user account, username or password.
By registering for a user account on the Platform, you explicitly agree to these Terms of Use, including any amendments made by us that are published from time to time. By agreeing to open an account on the Platform, you authorise us to make any searches that we see fit in order to certify the accuracy of any information supplied by you.
If there are any material changes to the information supplied at the time of registration (e.g. change of employment, income or contact details) you must immediately amend your details using your online account. Any losses incurred as a result of inaccurate or out-of-date information supplied by you shall be solely borne by you.
RME-Ideas reserves the right to terminate, restrict, or suspend your account at any time, without notice, for any reason whatsoever. Any such termination, restriction or suspension will not affect any obligation that may already have been incurred by either party in respect of the operation of your account.
You hereby agree that save as provided herein, RME-Ideas will not be liable to you or any third party for any suspension or discontinuance of the operation of your account on the Platform.
Trading
In relation to any Trade Instruction, and except as stated otherwise, the Client shall act as principal, and not as agent on behalf of any third party. Accordingly, the Client shall be solely responsible for performing the obligations arising from a Trade Instruction issued by the Client.
You hereby agree that we are under no obligation to query the suitability for you of any trade you request.
We will never give trading advice although we may provide you with information concerning your account or concerning factual data on markets that we quote. If any of our employees give (or appear to give) trading advice you agree that this advice is given on a personal level and is not in any way the opinion of RME-Ideas.
“Trade Instruction” as used herein refers to an instruction by you for the purchase or sale of securities on your behalf.
Disclaimer & Limitation of Liability
We provide the Platform on an “as is” and “as available” basis without any warranties or endorsements made; and without representations of any kind, direct or implied; including but not restricted to the implied warranties of acceptable quality, fitness for a particular purpose, compatibility, safety, and precision.
Neither us nor any third parties provide any express or implied warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on the Platform for any particular purpose.
You acknowledge that any information and/or materials available on the Platform are meant for informational purposes, and do not constitute professional advice. Accordingly, your use of any information or materials on the Platform is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through the Platform meet your specific requirements.
To the extent permitted by law, RME-Ideas will not bear any liability for any direct, indirect or consequential loss, harm or damage whatever (including but not limited to the loss of business, funds, opportunity, information, revenue or profits) arising out of or associated with the use of the Platform.
While we undertake to take adequate measures to ensure the optimal performance of the Platform, we give no guarantee as to the continuity of the Platform or that it will be error-free; that faults will be rectified or that the Platform or the server that makes it available are virus-free or free from any other harmful or destructive components.
Neither RME-Ideas, nor its employees, managers, officers and/or authorised representatives shall in any way be liable to you or any third party for any loss/damages of any kind whatsoever, arising out of or in connection with the use of or inability to use the Platform.
Nothing contained in this agreement shall be interpreted so as to exclude or limit the liability of RME-Ideas arising as a result of our negligence or that of our employees or authorised representatives.
License Grant
The Platform contains material which is owned by or licensed to us. Such material includes, but is not limited to, the design, layout, look, appearance and graphics of the Platform (“Materials”). Reproduction of the Materials is prohibited other than with our consent.
We hereby grant you a limited, non-exclusive, non-assignable and non-sublicensable license to access and use the Services, and any user guides, specifications or related documentation (the “Documentation”), subject to the terms and conditions of this Agreement. This grant of license is only for your personal and non-commercial use and subject to these terms.
To the extent not limited or restricted under any applicable law or regulation, you are granted permission to temporarily download or install the Platform solely for personal, non-commercial use on each mobile device (or other device) that you own or control.
Except as, and only to the extent any of the following restrictions are prohibited by applicable law or any of the restricted activities are permitted by the licensing terms of any open-sourced components incorporated into the Platform, you shall not:
a. lend, rent, lease, sell, redistribute, assign, sublicense or otherwise transfer the Platform or the right to download or use the Platform.
b. use the Services for any commercial purpose or for any commercial or non-commercial public display.
c. copy, decompile, reverse engineer, disassemble, attempt to derive the source code of the Platform, any updates, or any part of the Platform, or attempt to do any of the foregoing.
d. copy, modify or create derivative works of the Services, Materials, Documentation, updates or any part thereof.
e. remove any copyright or other proprietary notices from the Platform, Documentation, or the Materials.
f. transfer the content of, or other materials from the Platform to anyone else or “mirror” same on any server.
g. circumvent, disable, or otherwise interfere with security-related features of the Services.
h. use any robot, spider, site search or retrieval service; or any other manual or automatic device or process to retrieve, index, data-mine, or in any way reproduce or circumvent the navigational structure or presentation of the Platform and/or Services.
i. harvest, collect or mine information about other users of the Services.
j. post or transmit any virus, worm Trojan horse or other harmful or disruptive element on the Platform.
k. violate any applicable law, rule or regulation in using the Services.
l. use any logo or other proprietary graphic or trademark of ours, our partners or affiliates without our express written permission.
A violation of any of these restrictions (as determined by us) or the unauthorised use of the Platform will lead to the immediate revocation of the license granted hereunder, and may give rise to a claim by us for damages.
Third Party Sites
The Platform contains links to other independent websites (“Third Party Sites”). These links are provided for your convenience to provide further information, and do not signify that we endorse these Third Party Sites. Third Party Sites are not under our control , and accordingly we have no responsibility for their content.
You will need to make your own independent judgement regarding your interaction with any Third-party Sites, including the purchase and use of any products or services accessible through them, or disclosure of personal information. To this end, we encourage you to read the privacy policies of Third party Sites before using or accessing same.
Intended Users
The Services are available only to users who are at least 18 (eighteen) years old. The Services may only be used by children in accordance with the provisions of these terms.
If you are using the Services for the benefit of a child, please do not provide information relating to such child unless a) you are the parent or guardian of such child; or b) you have obtained the child’s parents’ or guardians’ consent, including their consent to our Privacy Policy.
If you discover that your child has been using the Services without your consent, or that someone has been using the Services for or on behalf of your child without your consent, please contact us immediately at [e-mail address].
By accessing and using the Services, you agree as follows:
a. That you CONSENT to the processing of your information in the manner as provided in our Privacy Policy.
b. That any and all registration information you submit is truthful and accurate, and you will maintain the accuracy of such information.
c. That your use of the Services will not violate any applicable law, regulation, order or guideline(s).
d. That you consent to receiving messages and promotional material offering in-Service purchases.
Intellectual Property
All materials presented and contained on the Platform, including but not limited to data, text, images, sounds, articles, reports, representations, graphics, illustrations or other information as well as any software programs available on or through the Platform, are copyrighted and trademarked by RME-Ideas. All goodwill generated from the use of our trademarks is reserved for the exclusive use of RME-Ideas .
All materials are protected by the intellectual property laws of England and Wales, as well as international intellectual property laws, unless where explicitly indicated to the contrary. All rights reserved.
Save as provided herein, and unless permitted in writing by us, any other use of the Platform is expressly prohibited.
Indemnity
You agree to indemnify and hold RME-Ideas, its affiliates, directors, employees , agents and authorised representatives harmless from and against all liabilities, actions, attorneys' fees, costs, damages, losses and other expenses incurred by us, as a result of any breach of these terms by you.
Waiver, Severability and Assignment
You hereby agree that a failure by RME-Ideas to enforce a provision of these terms does not in anyway constitute a waiver of its right to do so. If any provision of these terms is found illegal or unenforceable, the remaining provisions will remain in full effect and such unenforceable term(s) will be modified as may be necessary to make it legal or enforceable and in a manner that achieves our original intention. You may not assign any of your rights under these terms; RME-Ideas may however assign its rights and/or obligations under these terms to any of its affiliates or subsidiaries associated with the Services.
Governing Law
Your use of the Platform and any dispute arising out of the use of same, and/or the Services are subject to the laws of England and Wales.
